Terms of Service

1. Who we are

Platform Direct is an eCommerce migration and development service operated by Cryptool.io ("Platform Direct", "we", "us"). We help sellers move off marketplaces such as eBay, Amazon, and Etsy onto fully owned commerce platforms.

2. Our services

We provide design, development, migration, and optional ongoing support services. The specific scope, price, delivery window, and deliverables for any paid engagement are set out in a separate Migration Service Agreement signed by both parties. That agreement, once signed, governs the engagement and takes precedence over any conflicting statement on this website.

Information on this website, including package descriptions and indicative pricing, is provided for general guidance and does not constitute a binding offer.

3. Quotes and payment

Project fees are fixed and confirmed during discovery. Unless your signed agreement states otherwise, fees are invoiced in two milestones: 50 percent after the first sample is delivered, and 50 percent at final approval and handover.

Invoices are due on the terms stated in your agreement. Code, repositories, and administrative accounts transfer to your ownership as the corresponding milestone is paid.

4. Your responsibilities

You agree to provide accurate information, to grant the access we reasonably need to deliver the work, and to respond to requests for approval in good time. Delays in access or approvals may affect delivery timelines.

You are responsible for the content, products, pricing, and lawful operation of your store, and for holding the rights to any materials you provide to us.

5. Ownership and intellectual property

All custom code, designs, content, and configurations we produce for you become your property upon payment of the corresponding milestone. We do not retain a license fee or lock you into us.

We may reference the engagement publicly using only non-confidential information, unless you ask us in writing to keep it confidential. Third-party platforms, frameworks, and libraries remain subject to their own licenses.

6. Third-party services

Your store may rely on third-party services such as Shopify, WooCommerce, hosting providers, payment processors, and integrations. Those services are governed by their own terms and pricing, and we are not responsible for their availability, changes, or outages.

7. Warranties and disclaimer

We perform our services with reasonable skill and care. Except as expressly stated in your signed agreement, this website and our general information are provided on an "as is" basis without warranties of any kind.

8. Limitation of liability

To the maximum extent permitted by law, the total liability of either party arising out of or relating to an engagement is capped at the total fees you paid us for that engagement. Neither party is liable for indirect or consequential losses.

9. Termination

Either party may end an engagement as described in the signed agreement. If you terminate before the first sample is delivered, any deposit is refunded less work already performed. Once the first sample is delivered, the first milestone is non-refundable.

10. Changes to these terms

We may update these terms from time to time. The current version is always published on this page with its last-updated date. Material changes do not retroactively alter a signed agreement.

11. Governing law

These terms are governed by the applicable commercial law in the jurisdiction of Platform Direct's operating entity. Disputes are resolved in good faith through direct communication first.
